Commercial Contract Review, Redlining & Custom Drafting

from $350.00

Scope of Legal Services: The Gonzalez Law Office, PLLC ("Firm") shall provide flat-fee transactional legal counsel for either (a) the comprehensive legal review and redline revision of an existing commercial agreement, or (b) the custom drafting of one (1) original commercial contract (up to ten [10] standard pages in length, unless otherwise specified by tier), tailored to the Client’s commercial objectives and risk profile. Depending on the engagement scope, deliverables include:

  • Comprehensive Risk Assessment & Clause Analysis (Contract Review): Line-by-line legal review of one (1) proposed agreement to evaluate commercial viability, statutory compliance, and risk allocation—with focused scrutiny on indemnification, limitation of liability, intellectual property ownership/licensing, confidentiality, representations and warranties, termination rights, restrictive covenants, and dispute resolution/governing law provisions.

  • Bespoke Agreement Architecture (Custom Contract Drafting): Consultation to ascertain key deal terms and business mechanics, followed by the custom drafting of one (1) tailored commercial agreement (e.g., Master Services Agreement, Independent Contractor Agreement, Non-Disclosure Agreement, IP Assignment/Licensing Agreement, or Terms of Service).

  • Markup, Redlining & Explanatory Commentary: Delivery of a clean execution-ready version and/or a Microsoft Word Track Changes ("redline") markup proposing protective alternative language, accompanied by an attorney summary or margin commentary explaining material legal risks and recommended negotiation positions.

  • Attorney Consultation & Revision Round: One (1) thirty-minute (30-minute) attorney consultation (via video conference or telephone) to review the draft or redline markup, plus one (1) round of targeted revisions based on Client feedback prior to delivery to the counterparty.

Exclusions & Scope Parameters:

  • Page Limits & Out-of-Scope Transactions: This flat fee applies to one (1) standalone commercial contract of up to ten (10) standard single-spaced pages (excluding signature blocks). Highly complex corporate, securities, M&A, real estate, or multi-jurisdictional regulatory agreements, as well as contracts exceeding the page limit, require a custom fee quote.

  • Excluded Counterparty Negotiations & Litigation: Unless expressly agreed to in a separate written addendum, this flat fee does not include direct adversarial negotiations with opposing counsel or counterparties, subsequent rounds of turn-by-turn redline exchanges after initial delivery, regulatory filings, or dispute resolution/litigation arising from the contract.

  • Important Notice & Ethics Disclaimer: Submission of payment via this website does not automatically establish an attorney-client relationship. Because contract engagements frequently involve adverse or counterparty interests, representation is strictly contingent upon the Firm’s completion of a mandatory conflict-of-interest check (identifying all counterparties) and the mutual execution of a formal Engagement Agreement.
